• Free store audits and consultations

3. Client Responsibilities

As a client of VERTEX DIGITAL CREATOR, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to platforms, accounts, and tools as needed
• Respond to communications and requests in a timely manner
• Make payments according to agreed-upon terms
• Not use our services for any illegal or unauthorized purpose
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms are established at the time of service agreement. Unless otherwise specified:

• All fees are quoted in USD unless stated otherwise
• Payment is due according to the schedule outlined in your service agreement
• Late payments may result in service suspension or termination
• Refunds are handled on a case-by-case basis according to our refund policy
• Ad spend and third-party costs are separate from service fees

5. Intellectual Property

Our Property: All content, designs, methodologies, and materials created by VERTEX DIGITAL CREATOR remain our intellectual property until full payment is received. This includes but is not limited to website designs, marketing strategies, ad creatives, and proprietary frameworks.

Your Property: You retain ownership of your brand assets, product information, and any materials you provide to us. Upon full payment, deliverables created specifically for your project become your property.

Portfolio Rights: We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, financial information, customer data, and trade secrets. Confidentiality obligations survive the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• VERTEX DIGITAL CREATOR shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim
• We do not guarantee specific results, revenue increases, or business outcomes
• Results may vary based on market conditions, competition, and other factors beyond our control

8. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• All outstanding payments become immediately due
• Access to our tools and platforms will be revoked
• Completed deliverables will be transferred upon final payment
• Confidentiality obligations remain in effect

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
